Welcome to Phoenix Compliance & Legal Services (“Phoenix CLS,” “we,” “us,” or “our”). These Terms & Conditions (“Terms”) govern your use of phoenixcls.com (the “Website”) and your purchase or use of services provided by Phoenix CLS.

By accessing or using the Website, booking an appointment, submitting an inquiry, purchasing services, or otherwise engaging Phoenix CLS, you agree to these Terms. If you do not agree with these Terms, please do not use the Website or purchase our services.

1. About Phoenix Compliance & Legal Services

Phoenix Compliance & Legal Services provides professional administrative, document preparation, notarial, compliance, consulting, research, project management, and related services.

Services may include:

  • Bankruptcy petition preparation

  • Estate and end-of-life document preparation

  • Notarial services

  • Legal research and analysis

  • Legal project management

  • Compliance and regulatory consulting

  • Contract management and document review

  • Government contracting support

  • Administrative and operational consulting

  • Other related services described on the Website or agreed upon with a client

Services available may change from time to time.

2. We Are Not Attorneys

Phoenix Compliance & Legal Services is not a law firm. Phoenix CLS is not composed of attorneys and does not provide legal advice, legal representation, or legal counsel.

Our services are administrative, analytical, document preparation, notarial, compliance, consulting, research, and project-management services.

Nothing on the Website, in our written communications, during a consultation, or in connection with our services should be interpreted as legal advice or legal representation.

No Attorney-Client Relationship

Using the Website, contacting Phoenix CLS, booking a consultation, purchasing a service, or providing information to Phoenix CLS does not create an attorney-client relationship.

Phoenix CLS does not provide attorney-client privilege.

If your matter requires legal advice, legal strategy, legal interpretation, advocacy, representation, or an attorney's professional judgment, you should consult a licensed attorney.

3. Bankruptcy Petition Preparation

Phoenix CLS may provide administrative bankruptcy petition preparation services for individuals who choose to prepare and file their own bankruptcy case.

Our services may include organizing information, entering client-provided information, preparing forms, assembling documents, and providing administrative assistance with the preparation process.

Phoenix CLS does not:

  • Determine whether bankruptcy is appropriate for you

  • Determine which bankruptcy chapter you should file

  • Provide legal advice

  • Recommend whether you should file bankruptcy

  • Advise you regarding exemptions

  • Advise you regarding the legal consequences of filing

  • Represent you before a bankruptcy court

  • Represent you against creditors

  • Guarantee that a bankruptcy petition will be accepted

  • Guarantee that debts will be discharged

  • Guarantee any particular bankruptcy outcome

You are responsible for reviewing the information and documents prepared on your behalf and for ensuring that information provided to Phoenix CLS is accurate and complete.

You are also responsible for obtaining legal advice from a licensed bankruptcy attorney when needed.

4. Estate and End-of-Life Document Preparation

Phoenix CLS may provide administrative document-preparation services relating to estate and end-of-life planning, including preparation of documents based on information and instructions provided by the client.

Depending on the service selected, information may include personal, family, beneficiary, property, healthcare, and other identifying information.

Phoenix CLS does not provide legal advice regarding:

  • Estate-planning strategy

  • Distribution of assets

  • Tax consequences

  • Testamentary decisions

  • Legal capacity

  • Trusts

  • Probate

  • Medicaid or other eligibility issues

  • Interpretation or enforceability of legal documents

  • Other legal matters

Clients are responsible for reviewing documents and should consult a licensed attorney when legal advice is necessary.

5. Notary Services

Phoenix CLS may provide notarial services in accordance with applicable Virginia law and other applicable requirements.

A notary appointment does not include legal advice or legal document preparation unless a separate service has been expressly purchased.

Phoenix CLS reserves the right to decline or discontinue a notarization when required by law or when the circumstances do not satisfy applicable notarial requirements.

The signer remains responsible for understanding the document being signed.

A notary does not determine whether a document is legally appropriate, enforceable, or in the signer's best interests.

6. Professional and Business Services

Phoenix CLS may provide legal project management, compliance, regulatory consulting, legal research, contract management, document review, government contracting support, and related professional services.

These services are provided for administrative, analytical, operational, research, coordination, or consulting purposes.

Unless expressly agreed otherwise in writing, Phoenix CLS does not provide legal opinions, legal representation, or legal advice.

Where a project involves legal matters requiring an attorney's judgment or representation, Phoenix CLS may recommend that the client consult or engage a licensed attorney.

7. Client Responsibilities

Clients are responsible for providing accurate, complete, and timely information.

You agree to:

  • Provide truthful and accurate information

  • Review documents and information provided by Phoenix CLS

  • Notify Phoenix CLS of errors or changes promptly

  • Provide requested documentation in a timely manner

  • Maintain copies of important documents

  • Protect your account credentials and login information, if applicable

  • Follow applicable instructions regarding secure submission of sensitive information

  • Obtain independent legal advice when necessary

  • Meet deadlines that are outside Phoenix CLS's control

Phoenix CLS is not responsible for errors, delays, or consequences resulting from inaccurate, incomplete, outdated, or misleading information provided by a client.

8. Sensitive Personal Information

Certain services may require sensitive personal information, including Social Security numbers, dates of birth, financial information, identification information, and other personal information.

Such information may be necessary to prepare certain bankruptcy or estate-related documents or to perform other requested services.

Clients agree to provide sensitive information only through the secure method designated or approved by Phoenix CLS.

Do not submit Social Security numbers, financial account information, passwords, or other highly sensitive information through the general Website contact form or ordinary email unless Phoenix CLS specifically instructs you to do so.

The collection and handling of personal information is also governed by our Privacy Policy.

9. Fees and Payment

Fees for services are established based on the service selected, scope of work, complexity of the matter, and other applicable factors.

Unless otherwise agreed in writing:

  • Payment is required before services begin or according to the payment terms presented at the time of purchase.

  • Clients are responsible for all applicable fees associated with the services they purchase.

  • Additional services outside the original scope may require additional payment.

  • Third-party fees and expenses may be charged separately.

Payment of a fee does not guarantee a particular outcome.

10. Refunds and Cancellations

Phoenix CLS's Refund & Cancellation Policy is incorporated into these Terms by reference.

Unless otherwise required by applicable law, service fees are generally non-refundable once Phoenix CLS has begun substantive work on a client's matter.

Work may begin when Phoenix CLS reviews documents, enters information, conducts research, prepares documents, organizes client information, performs project work, or takes other substantive action related to the requested service.

By purchasing services, you acknowledge and agree to the applicable Refund & Cancellation Policy.

11. Consultations and Appointments

Appointments and consultations may be scheduled through the Website or another booking method designated by Phoenix CLS.

Clients are responsible for:

  • Selecting the correct appointment type

  • Providing accurate contact information

  • Arriving or connecting on time

  • Providing information reasonably necessary for the consultation

  • Cancelling or rescheduling within any applicable timeframe

A consultation does not create an attorney-client relationship and does not constitute legal advice.

Phoenix CLS may refuse or reschedule an appointment when necessary due to scheduling, availability, technical issues, or other legitimate business reasons.

12. No Guarantee of Results

Phoenix CLS provides professional services but does not guarantee a particular result.

Without limitation, Phoenix CLS does not guarantee:

  • Bankruptcy filing acceptance

  • Debt discharge

  • Court approval

  • Government approval

  • Contract award

  • Regulatory approval

  • Acceptance of a document

  • Enforceability of a document

  • A particular financial outcome

  • A particular legal outcome

  • Approval by a creditor, government agency, court, insurer, employer, or other third party

Results may depend on facts, circumstances, decisions, laws, regulations, courts, government agencies, third parties, and other factors outside Phoenix CLS's control.

13. Website Information

Information provided on the Website is intended for general informational purposes only.

Although Phoenix CLS attempts to provide accurate and current information, we do not warrant that all Website content is complete, accurate, current, or free from errors.

Website content should not be interpreted as legal advice or as a substitute for consultation with a licensed attorney.

Phoenix CLS may modify, update, suspend, or discontinue Website content or functionality at any time.

18. Indemnification

To the extent permitted by applicable law, you agree to indemnify and hold harmless Phoenix Compliance & Legal Services and its owners, employees, contractors, and representatives from claims, losses, liabilities, damages, costs, and expenses arising from:

  • Your violation of these Terms

  • Information you knowingly provide that is false, inaccurate, or misleading

  • Your violation of applicable law

This provision does not require you to indemnify Phoenix CLS for its own unlawful conduct or liability that cannot legally be shifted to a client.

19. Termination or Refusal of Service

Phoenix CLS reserves the right to decline, suspend, or terminate services when reasonably necessary, including circumstances involving:

  • Client misconduct

  • Harassment or threats

  • Fraudulent or deceptive activity

  • Failure to provide required information

  • Failure to pay required fees

  • Conflicts of interest

  • Requests for services outside our scope

  • Requests for legal advice or representation

  • Illegal or unethical activity

  • Other circumstances that make continued service inappropriate or impractical

If services are terminated after work has begun, the Refund & Cancellation Policy will determine whether any refund is available.

20. Compliance With Law

You agree to use the Website and services only for lawful purposes.

You may not use Phoenix CLS's Website or services to:

  • Commit fraud

  • Facilitate unlawful activity

  • Misrepresent information

  • Circumvent legal or regulatory requirements

  • Impersonate another person

A failure by Phoenix CLS to enforce any provision of these Terms does not constitute a waiver of the right to enforce that provision or any other provision in the future.

25. Entire Agreement

These Terms, together with any applicable service agreement, engagement agreement, Refund & Cancellation Policy, Privacy Policy, and other written terms expressly incorporated into a service agreement, constitute the applicable agreement between Phoenix CLS and the client regarding use of the Website and services.

If a separate written service agreement conflicts with these Terms, the specific written service agreement will control with respect to that particular service.

26. Changes to These Terms

Phoenix CLS may update these Terms from time to time to reflect changes in our services, Website, business practices, or applicable law.

Updated Terms will be posted on the Website with a revised Effective Date.

Your continued use of the Website or purchase of services after updated Terms are posted constitutes acceptance of the updated Terms to the extent permitted by law.
